Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Agape Labs LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services. These Terms apply to all visitors, users, and clients who access or use our website and services. We reserve the right to update or modify these Terms at any time, and your continued use of our services following any changes constitutes your acceptance of the revised Terms.

2. Services

Agape Labs provides web development, application development, and technology consultation services. Our services include but are not limited to:

• Website design, development, and maintenance
• Custom web and mobile application development
• Technology strategy and consultation
• Cloud infrastructure and migration services
• UI/UX design and optimization

The specific scope of services for each project will be outlined in a separate Statement of Work (SOW) or project agreement between the Company and the client. All deliverables, timelines, and responsibilities will be defined within those agreements.

3. Intellectual Property

Unless otherwise specified in a project agreement:

• Client Content: You retain all rights to the content, data, and materials you provide to us for use in your project.
• Deliverables: Upon full payment, ownership of the custom deliverables created specifically for your project will transfer to you, unless otherwise agreed upon in writing.
• Company Property: We retain ownership of all proprietary tools, frameworks, libraries, and pre-existing code used in the development process. We may use general knowledge and techniques gained during the project for future work.
• Portfolio Rights: We reserve the right to display and reference completed work in our portfolio and marketing materials, unless a non-disclosure agreement is in place.

The content, design, and code of the Agape Labs website are the property of Agape Labs LLC and are protected by copyright and intellectual property laws. Unauthorized reproduction, distribution, or use of this material is prohibited.

4. Payment Terms

Payment terms will be outlined in the individual project agreement or Statement of Work. General payment terms include:

• A deposit is required before work begins, typically 50% of the total project cost.
• Milestone payments may be structured for larger projects, with amounts and schedules defined in the project agreement.
• Final payment is due upon project completion and before the final deliverables are transferred.
• Invoices are payable within 15 days of the invoice date unless otherwise agreed upon.
• Late payments may incur a fee of 1.5% per month on the outstanding balance.

All prices are quoted in US Dollars (USD) unless otherwise specified. Prices do not include applicable taxes, which will be added where required by law.

5. Limitation of Liability

To the maximum extent permitted by applicable law:

• Agape Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services.
• Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.
• We are not responsible for any loss of data, revenue, or business opportunities resulting from the use of our services or deliverables.
• We do not guarantee that our services will be uninterrupted, error-free, or that defects will be corrected, except as outlined in any warranty or maintenance agreement.

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, unless specifically stated in a project agreement.

6. Termination

Either party may terminate a project engagement under the following conditions:

• By the Client: You may terminate the project at any time by providing written notice. You will be responsible for payment of all work completed up to the date of termination, plus any non-refundable expenses incurred.
• By Agape Labs: We may terminate the engagement if payment is not received within the agreed-upon timeframe, if the client fails to provide necessary materials or feedback within a reasonable time, or if continuing the project would be impractical or unethical.
• Mutual Termination: Both parties may agree to terminate the project at any time by mutual written consent.

Upon termination, we will deliver all completed work and materials to the client, subject to full payment of outstanding invoices.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Fulton County, Georgia. Both parties agree to attempt to resolve any disputes through good-faith negotiation before pursuing formal legal action.

8. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
